Amsterdam - 16 April 2019 - 15:00 CEST
At Blockport, we’re extremely excited to be launching the first round of our Security Token Offering (STO) today!
If you’re participating in our STO, here’s what you need to know:
- Blockport is one of the first exchanges in Europe to launch an STO.
- Investors receive Blockport Securities (BPS) in exchange for a minimum investment of EUR 500.
- Investors will receive (indirect) economic ownership of Blockport, as well as benefiting from a potential value increase in the Blockport company.
- Through BPS, investors are entitled to profit sharing via dividends.
- By holding BPS, investors will receive exclusive access to annual meetings with Blockport’s board and management team, including financial reporting.
- BPS holders will be included in key product development feedback processes.
If you’ve completed all whitelisting steps, then you’re able to go through the investment flow and participate immediately.
Remember: The currency in which you make the payment does not affect your place in the queue. Blockport records the time when you finished the payment in step 3 to determine your place in the queue. Therefore, the time of arrival of funds in Blockport’s account does not influence your place.
If you’re unsure how to complete the investment, read our step-by-step guide.
How can you participate in the Blockport STO if you haven’t whitelisted yet?
Investors can join our STO on a first-come-first-serve basis. Starting at EUR 500, you can purchase BPS tokens (valued at EUR 100 each). In the first round of the STO, Blockport aims to raise EUR 5 Million. The second and third rounds will only be open to private and institutional investors.
The Blockport STO is open to the general public in countries within the European Economic Area (EEA), as well as accredited investors in the US.
If spots are still available, and in order to participate, you need to be whitelisted.
What to expect once the STO is live
Investors will be accepted for participation on a first come first served basis. This means that investors who went through the payment steps first, will be the first in line. The time of arrival of funds does not matter and does not influence your place in the queue.
The STO starts on the 16th of April, at 15:00 CEST and ends on the 15th of May.
During this month, investors will not be able to see the progress of the fundraising round in real time. Blockport will disclose the amount raised when the round has officially ended. This is due to the fact that certain investors could be refunded during the STO. As such, it is impossible to reflect accurate numbers and metrics in real time during the STO period itself.
Receiving your BPS
Investors will receive BPS in their personal wallet a few weeks after the STO ends.
To receive your BPS, you will need to enter a valid Ethereum (ETH) wallet address. This wallet address must be compatible with ERC20 tokens. You must be in total control of this wallet and it must belong to you (you own the private keys of this wallet).
This wallet cannot be changed easily, please be careful when you choose it. It will be linked to your identity as an investor. We recommend using the Metamask wallet, or the MyEtherWallet, which are both easy to set up. A video guide for installing Metamask can be found here.
More information about receiving BPS can be found in the Investment Memorandum, which is accessible through the investor dashboard.
Tradability of BPS
Blockport aims to have BPS listed on a regulated trading venue, or regulated market in the near future so that investors can trade BPS on a market. Blockport envisions BPS to be listed on a prominent trading venue that is capable of supporting a healthy market, which benefits all stakeholders in the long run.
However, Blockport cannot guarantee a specific date when such listing is going to be achieved and will be selective about the listing of BPS on a regulated trading venue.
Although BPS will not be listed on a regulated trading venue immediately, BPS can be traded between certain investors (over-the-counter). Investors residing in the EEA will be able to freely transfer BPS to other wallets of approved investors residing in the EEA. Holders residing in the EEA will be prohibited from transferring their BPS to US residents within 12 months of consummation of the offering.
In the event that the soft cap of 1 Million Euros is not reached during the STO, all investors will be refunded their investment amount.
Accreditation and KYC
To participate in the STO, you need to go through the whitelisting process before you can purchase BPS. While your whitelisting approval might still be in a pending state, it will not block you from moving to the payment steps. Investors should always consult the Investment Memorandum and see if they’re eligible to participate. When investors who are not eligible to participate send funds to purchase BPS, they will be refunded.
If you’re a US investor, you need to provide proof of accreditation. If you don’t have this on hand, and you are for example waiting on your accreditation letter to be signed by your attorney, you can still continue with the purchase and provide the proof later.
Note: make sure to upload your proof of accreditation before the end of the STO, otherwise we have no other choice than to refund your investment amount and you will not receive BPS.
